1. Acceptance of Terms

By accessing or using the Bloom Clinical platform ("Service"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of a skilled nursing facility or healthcare organization, you represent that you have authority to bind that organization to these terms.

2. Service Description

Bloom Clinical provides AI-powered clinical decision support for PDPM (Patient-Driven Payment Model) classification optimization, MDS (Minimum Data Set) assessment assistance, and related clinical documentation tools for skilled nursing facilities. The Service is intended to assist — not replace — clinical judgment by licensed healthcare professionals.

3. Clinical Decision Support Disclaimer

Bloom Clinical is a clinical decision support tool. All AI-generated recommendations, classifications, and suggestions require review and attestation by a qualified healthcare provider before submission. Bloom Clinical does not provide medical advice, diagnosis, or treatment recommendations. The platform does not guarantee specific reimbursement outcomes, audit results, or regulatory compliance.

4. User Responsibilities

  • Maintain the confidentiality of your account credentials
  • Ensure all clinical data entered is accurate to the best of your knowledge
  • Review and clinically validate all AI-generated recommendations before attestation
  • Comply with all applicable CMS, state, and federal regulations
  • Restrict access to authorized personnel within your organization
  • Report any suspected security incidents or unauthorized access promptly

5. Subscription & Payment

Access to the Service requires an active subscription. Subscription plans, pricing, and payment terms are as described on our pricing page. We reserve the right to modify pricing with 30 days' written notice. No long-term contracts are required unless otherwise specified in a separate agreement.

6. Intellectual Property

The Service, including its algorithms, models, interface, and documentation, is the proprietary property of Bloom Clinical. Your clinical data remains your property. We claim no ownership of PHI or clinical documentation uploaded to the platform.

7. Limitation of Liability

To the maximum extent permitted by law, Bloom Clinical shall not be liable for indirect, incidental, special, consequential, or punitive damages, including lost revenue, lost profits, or loss of data arising from use of the Service. Our total liability for any claim shall not exceed the amount paid by you for the Service during the 12 months preceding the claim.

8. HIPAA Compliance

Bloom Clinical operates as a Business Associate under HIPAA. We execute a Business Associate Agreement (BAA) with each partner facility prior to processing any Protected Health Information (PHI).

Our HIPAA commitments include:

  • AES-256 encryption at rest and TLS 1.3 in transit for all PHI
  • Field-level encryption for patient identifiers
  • Role-based access controls with facility-scoped data isolation
  • 15-minute idle session timeout per §164.312(a)(2)(iii)
  • Comprehensive audit logging retained for 7 years per §164.530(j)
  • PHI sanitization before any AI/LLM processing
  • Incident response procedures and breach notification per §164.410
  • Annual HIPAA training for all Bloom Clinical personnel

9. Termination

Either party may terminate this agreement with 30 days' written notice. Upon termination, we will provide a reasonable period for you to export your data. PHI will be securely destroyed or returned in accordance with our BAA.
